Governing Bodies of the Parent Company
The Governing Board
Responsible for representing and managing Central Lechera Asturiana SAT, it is the highest authority and supervisory body, except for matters of great importance, reserved for the General Assembly. It is composed of 12 members: ten representatives of active members or milk producers, and two surplus (non-active) members.
Its economic management and the development of its activities are based on the equality of rights among members and independence of judgment. The renewal of its components is carried out by halves, in accordance with the rules established in the Bylaws of the SAT.

Its main function is to ensure the proper functioning of the company. Key responsibilities of this committee include advising and informing the Governing Board on any relevant aspect, as well as supervising and understanding the actions carried out by the various management bodies.

Supervisory Committee
Body responsible for supervising the social operations and accounting of the Agrarian Transformation Society (SAT).
Its objective is to ensure the accounting, legal, and statutory correctness of the activities carried out by the society. Its composition and operation are regulated by statute, with six-year terms and a staggered renewal of its members.

General Assembly
The sovereign body of CLAS SAT, composed of “Delegate” members who act as representatives of those members who have conferred their designation upon them, according to the Bylaws. The decisive power of the livestock farmer members resides in the Assembly, shaping the collective will of the corporation.
The Assembly is renewed every three years. The Delegates represent both active members (whose number depends on the quantity of active members in each zone) and surplus members (two members per zone), distributed across eight areas based on the geographical location of the livestock farms.
Its powers include the approval of proposals from the Governing Board, the annual accounts, statutory changes, and any other relevant issue affecting the company’s direction.
Information for members and shareholders
Grupo Central Lechera Asturiana provides its shareholders with general and specific information for each General Meeting, such as the notice of the General Shareholders’ Meeting and any other information that may be of interest.
